Terms of Service
Oct 16, 2026 · Final version for codinative.com
These Terms govern your use of codinative.com, the free store audit and the AI chat; paid projects are governed by a separate written agreement.
1. Acceptance and scope
By accessing or using https://codinative.com , including its contact forms, scheduling, free store audit and AI chat assistant, you agree to these Terms of Service . If you use the Website for a company or other organization, you confirm that you have authority to bind it. If you do not agree, do not use the Website.
These Terms apply to the Website and to general pre-contract communications. They do not oblige Codinative to perform services, reserve capacity, meet a deadline or accept a project.
2. Eligibility
You must be at least 18 years old and legally able to enter into a binding agreement. The Website is intended for businesses and professionals and is not directed to children under 13; we do not knowingly collect personal information from them.
3. About Codinative and our services
Codinative is a BigCommerce development and ecommerce consulting agency. We offer BigCommerce SEO, Apps & Integrations, Custom Development, Checkout Customization, B2B Ecommerce Development, Storefront Development, Multi-Storefront Development and Maintenance. Our services may change over time.
Website descriptions, case studies, timelines, technologies and any pricing references are general information, not a quote, promise or guarantee. Paid work is provided only under a signed proposal, statement of work, order form or service agreement (a “Client Agreement”) that sets the scope, fees, payment terms, timeline, ownership of deliverables, warranties and support. If a Client Agreement conflicts with these Terms, the Client Agreement controls for those services. Platform terms, payment-provider terms and other third-party rules may also apply.
4. Free store audit and consultations
Our free store audit, discovery calls and consultations give general guidance based on the information and access available at the time. When you submit a store URL or other details, you confirm you are authorized to request a review of that store and to share that information. Booking a call uses a third-party scheduling service that has its own terms and privacy practices.
The audit is not a complete technical, legal, security, accessibility or compliance assessment. It does not create a client relationship or a paid engagement, and it does not guarantee rankings, traffic, revenue, conversions or any other result.
5. AI chat assistant
The Website includes an AI-powered chat assistant. Its responses may be incomplete, inaccurate or out of date and are not a quote, binding commitment or professional advice. Please do not enter passwords, payment card details or other sensitive information in the chat. For a confirmed answer, contact info@codinative.com or use the contact form at https://codinative.com/contact/.
6. Acceptable use
You may use the Website only for lawful business purposes. You must not:
- Attempt to gain unauthorized access to the Website, accounts, servers, source code or connected systems.
- Introduce malware or malicious code, run automated attacks, or place an unreasonable load on the Website.
- Scrape, copy, frame, mirror or reverse engineer the Website except as permitted by law or our written authorization.
- Interfere with the security, access controls or monitoring of the Website, or with another person’s use of it.
- Submit content that is unlawful, infringing, deceptive, defamatory or harmful.
- Misrepresent your identity, authority, affiliation or project facts.
We may investigate suspected misuse and cooperate with lawful requests from courts, regulators and law enforcement.
7. Case studies, results and testimonials
Case studies, client examples, testimonials and any performance figures on the Website describe past projects and individual experiences. Results depend on many factors, including the store, products, traffic, market and platform, and are not a guarantee that another client will achieve the same outcome. We do not publish confidential client information. Where the Federal Trade Commission’s endorsement rules require it, we disclose material connections or incentives that could affect how an endorsement is understood.
8. Intellectual property
The Website and its content, including text, graphics, logos, design and code, belong to Codinative or its licensors and are protected by US and international intellectual property laws. You may view the Website and print or share pages for your own business evaluation, but you may not copy, modify, distribute or create derivative works from it without our written permission. Ownership of work delivered to a client, and any license to Codinative’s pre-existing tools and methods, is set out in the applicable Client Agreement.
9. Third-party platforms, links and trademarks
The Website refers and links to third-party platforms and services, including BigCommerce. Codinative is an independent agency. Third-party names and trademarks belong to their respective owners and are used for identification only. We do not control, and are not responsible for, third-party websites or services, their availability, terms or data practices.
10. Apps and documentation
Where we provide apps, user guides or other documentation, they are provided for general information and may change without notice. Apps may be subject to separate license or service terms, which apply in addition to these Terms.
11. Confidentiality
Information you share through the Website, a store audit or a consultation is used to respond to you and evaluate your needs. We treat non-public business and technical information with reasonable care and disclose it only to personnel and service providers who need it, or when the law requires. Please share only information you are authorized to share. Confidentiality for paid projects is governed by the Client Agreement or a separate non-disclosure agreement.
12. Privacy and California privacy rights
Our Privacy Policy explains what personal information we collect through the Website, how we use and protect it, and your choices. It forms part of these Terms.
Depending on where you live and whether the legal thresholds and exemptions apply, California residents may have rights under the California Consumer Privacy Act, as amended by the California Privacy Rights Act, including rights to know, correct, delete and obtain a copy of certain personal information.
To make a request, email info@codinative.com or use the contact form at https://codinative.com/contact/. We will process verified requests as applicable law requires and will not unlawfully discriminate against anyone for exercising a privacy right.
13. Email communications
By submitting an inquiry, you allow us to respond about that inquiry, a requested service or an existing business relationship. Any marketing emails we send will identify us as the sender, use accurate routing and subject information, include a clear way to opt out, and honor valid opt-out requests within the time required by the US CAN-SPAM Act. We may still send transactional or relationship messages where the law permits.
14. Accessibility
We aim to make the Website usable by a broad audience and to improve its accessibility over time. If you meet an accessibility barrier, email info@codinative.com or use the contact form at https://codinative.com/contact/ and describe the page, the feature and the help you need. We will make reasonable efforts to provide access or an alternative, subject to applicable law and technical feasibility. This is not a statement that every page meets a particular Web Content Accessibility Guidelines level.
15. Disclaimers and no guaranteed results
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WEBSITE AND ALL WEBSITE CONTENT, INCLUDING THE AI CHAT ASSISTANT, ARE PROVIDED “AS IS” AND “AS AVAILABLE.” CODINATIVE DISCLAIMS ALL EXPRESS AND IMPLIED WARRANTIES RELATING TO THE WEBSITE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, SECURITY AND UNINTERRUPTED AVAILABILITY.
Service warranties, if any, are only those stated in the applicable Client Agreement. Codinative does not guarantee search rankings, organic traffic, revenue, conversion rates, platform approval, legal or accessibility compliance, or any specific commercial outcome. Search engines, ecommerce platforms, browsers, competitors and markets can change without our control. Some jurisdictions do not allow certain warranty exclusions; in those places the exclusions apply only as far as the law permits.
16. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CODINATIVE AND ITS OWNERS, PERSONNEL, CONTRACTORS AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THE WEBSITE, EVEN IF ADVISED THAT SUCH DAMAGES MAY OCCUR. CODINATIVE’S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE WEBSITE IS LIMITED TO US$100.
Liability for paid services is governed by the applicable Client Agreement. These limits do not exclude liability that cannot lawfully be excluded, including liability for fraud, willful misconduct or other non-waivable rights under applicable law, and some states do not allow certain limitations, so parts of this section may not apply to you.
17. Indemnification
To the extent permitted by law, you agree to defend, indemnify and hold harmless Codinative and its owners, personnel, contractors and affiliates from third-party claims, losses and reasonable legal fees arising from your unlawful or unauthorized use of the Website, your breach of these Terms, or information you submit without the right to share it.
18. Suspension and termination
We may suspend or end your access to the Website for suspected misuse, security risk, legal requirement or breach of these Terms. Provisions that by their nature should survive, including intellectual property, disclaimers, limitation of liability, indemnification and dispute terms, continue after access ends.
19. Governing law and disputes
These Terms and any dispute arising from or relating to them or the Website are governed by the laws of the State of Georgia, United States, without regard to its conflict-of-law rules. Before starting a claim, each party agrees to send the other a written notice describing the dispute and to try in good faith to resolve it for at least 30 days. Notice to Codinative should be sent to info@codinative.com with the subject “Legal Notice”.
If the dispute is not resolved, it will be brought in the state or federal courts located in Atlanta, Georgia, and each party consents to their jurisdiction and venue. This section does not limit any mandatory consumer right or remedy that cannot lawfully be waived or displaced by a choice-of-law or forum clause.
20. Changes to the Website and these Terms
We may change, suspend or discontinue any part of the Website at any time. We may update these Terms to reflect changes in our services, technology, the law or our business. The updated version will show a new “Last updated” date. Material changes apply going forward, and where the law requires it we will give additional notice or ask for consent. Continued use of the Website after an update means you accept it, to the extent the law permits.
21. General terms
These Terms, together with the Privacy Policy and any Client Agreement, are the entire agreement between you and Codinative about the Website. If a provision is found unenforceable, it will be limited to the minimum extent necessary and the rest stays in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our written consent; we may assign them in connection with a merger, sale of assets or transfer of the relevant business. Neither party is liable for delay caused by events beyond its reasonable control, such as natural disaster, utility or internet outage, or failure of a critical third-party platform. No agency, partnership or employment relationship is created by use of the Website. Electronic records and signatures may be used where the law permits.
